These Terms and Conditions of Use ("Terms") constitute a binding legal agreement between you (the "User") and Rally Technologies LLC ("Rally," "we," "us," or "our"), a limited liability company organised under the laws of the State of New Mexico, United States of America. These Terms govern your access to and use of the website located at https://rallypointtoken.com (the "Site"), including all subdomains, associated services, and any content, tools, or materials made available therein in connection with the RallyPoint token ("RPT").

By accessing or using the Site, you affirm that you have read, understood, and agree to be legally bound by these Terms in their entirety. If you do not accept any part of these Terms, you must not access or use the Site or any of its associated materials or services.

RallyPoint (RPT) is a utility token offered and administered by Rally Technologies LLC. The token sale, website content, and all associated services are operated solely by Rally Technologies LLC. For the avoidance of doubt, RallyPoint is not a separate legal entity and is not independently incorporated or registered.

1. Eligibility and Jurisdictional Restrictions

Use of the Site is strictly limited to individuals who meet all of the following criteria:

• they are at least eighteen (18) years of age or have reached the age of majority in their jurisdiction of residence, whichever is greater;
• they possess the full legal capacity and authority to enter into binding legal agreements;
• they are not subject to any restriction or prohibition under applicable law that would preclude them from accessing the Site, acquiring digital assets, or engaging in blockchain-based transactions.

The Site is not directed to or intended for use by individuals under the age of thirteen (13), and Rally does not knowingly collect data from such individuals.

Participation in the RallyPoint token sale is expressly prohibited in the following jurisdictions: the United States, Canada, China, Iran, North Korea, and Syria. Due to recent regulatory changes, individuals accessing the Site from Nigeria will also be restricted from participating through geo-blocking and other access controls. This measure is implemented solely to comply with local securities laws and does not reflect a strategic exclusion of Nigerian users.

Users located in or accessing the Site from these jurisdictions are not permitted to participate directly or indirectly. Circumvention of these restrictions, including through the use of VPNs or proxy services, constitutes a material breach of these Terms.

You represent and warrant that your use of the Site is in full compliance with all applicable laws, regulations, and rules, including any requirements pertaining to the acquisition, custody, transfer, or disposal of cryptographic assets. You assume all responsibility for ensuring such compliance and agree to indemnify and hold harmless Rally from any liability, claim, or expense arising from your non-compliance.

2. Prohibited Conduct

You agree not to engage in any activity that may:

• Interfere with or disrupt the Site or any servers or networks connected to the Site;
• Attempt to gain unauthorised access to any portion of the Site or its underlying systems;
• Circumvent, disable, or otherwise interfere with security-related features;
• Use the Site in any manner that may damage, disable, or overburden Rally's infrastructure;
• Use spiders, robots, or other automated data extraction methods;
• Upload or transmit viruses, malware, or harmful code;
• Use the Site for any illegal, abusive, harassing, defamatory, or fraudulent purpose;
• Impersonate any individual or misrepresent your affiliation with any person or entity.

Violation of these rules may result in immediate termination of access and legal liability.
